Terms of Service

These terms of service govern your use of Platform21's services. By engaging our services, you agree to these terms.

Platform21 is operated by Icedreamery Property Trust trading as Platform21 (ABN 49 721 370 876).

1. Definitions

  • "We," "us," "our" refers to Platform21
  • "You," "your," "client" refers to the person or business engaging our services
  • "Services" refers to the digital marketing services we provide
  • "Project" refers to a specific engagement with defined scope and deliverables

2. Services

Scope of Services

The specific services, scope, timeline, and pricing for each engagement are set out in our proposal or quote. Services we may provide include:

  • Web development and design
  • Search engine optimisation (SEO)
  • Google Ads management
  • Conversion rate optimisation
  • UX design
  • Emergency website services
  • Ongoing maintenance and support

Service Delivery

We will perform services with reasonable skill and care, in accordance with industry standards. We will meet agreed timelines, subject to receiving required materials and feedback from you in a timely manner.

3. Your Responsibilities

To enable us to deliver services effectively, you agree to:

  • Provide information: Supply content, imagery, access credentials, and other materials in a timely manner
  • Give feedback: Respond to requests for feedback and approval within agreed timeframes
  • Make decisions: Designate an authorised person to make decisions on behalf of your business
  • Pay on time: Pay invoices in accordance with payment terms
  • Comply with laws: Ensure content and materials you provide comply with applicable laws

4. Payment Terms

Pricing

All prices are quoted in Australian dollars (AUD) and are exclusive of GST unless stated otherwise.

Payment Structure

  • Project work: 50% deposit on acceptance, 50% on completion
  • Ongoing services: Monthly invoicing at the start of each month
  • Hourly work: Invoiced monthly in arrears

Payment Terms

Invoices are due within 14 days of the invoice date unless otherwise agreed.

Late Payment

Overdue invoices may incur interest at 2% per month. We reserve the right to suspend services if invoices remain unpaid for more than 30 days.

5. Intellectual Property

Your Materials

You retain ownership of all content, images, logos, and other materials you provide to us. You grant us a licence to use these materials solely to deliver the services.

Our Work

Upon full payment, you own the deliverables we create specifically for your project, including website code, design files, and original content.

Exclusions

We retain ownership of pre-existing tools, code libraries, frameworks, general methodologies, and templates used across multiple clients. We grant you a licence to use these as part of your deliverables.

6. Confidentiality

Each party agrees to keep confidential any information disclosed by the other party that is marked as confidential or that a reasonable person would understand to be confidential. Confidentiality obligations survive termination and continue for three years.

7. Website Development Terms

  • Projects include a specified number of revision rounds; additional revisions may be charged
  • 30 days of post-launch support for bug fixes and minor adjustments
  • Hosting fees are separate from development fees
  • You are responsible for domain registration and renewal

8. SEO and Google Ads Terms

  • We do not guarantee specific rankings, traffic levels, or conversion rates
  • Your Google Analytics, Google Ads, and other accounts remain your property
  • Google Ads spend is separate from management fees with no markup
  • We recommend a minimum three-month commitment to assess effectiveness

9. Limitation of Liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability for any claim is limited to the fees paid for the specific services giving rise to the claim.

10. Termination

Termination by You

You may terminate ongoing services with 30 days written notice. Project work in progress will be invoiced for work completed to date.

Termination by Us

We may terminate if you fail to pay invoices within 30 days, materially breach these terms, or become insolvent.

11. Dispute Resolution

If a dispute arises, both parties agree to attempt to resolve it through good faith negotiation before pursuing other remedies. These terms are governed by the laws of Queensland, Australia.

13. Acceptance

By engaging our services, providing a deposit, or instructing us to commence work, you confirm that you have read, understood, and agree to these terms of service.
